Affiliate / Partnership Terms
These Affiliate / Partnership Terms (“Terms”) govern the relationship between Zinyaw Host (“Company”, “we”, “our”, or “us”) and individuals or entities (“Affiliate”, “Partner”, or “you”) who participate in our affiliate or partnership programs (“Program”).
1. Enrollment and Eligibility
To become an Affiliate or Partner, you must complete the registration process and be approved by Zinyaw Host. We reserve the right to accept or reject any application at our sole discretion.
2. Affiliate Obligations
- You agree to promote Zinyaw Host’s products and services in a lawful, ethical, and professional manner.
- You shall not engage in misleading, deceptive, or unethical marketing practices.
- You agree to comply with all applicable laws and regulations, including advertising standards and data protection laws.
- You must not make any representations, warranties, or commitments on behalf of Zinyaw Host without prior written consent.
3. Referral Tracking and Commissions
Zinyaw Host will provide a unique tracking link or code to identify referrals made by you. Commissions will be paid according to the Program’s published commission structure and terms.
- Commissions are earned only on valid sales or sign-ups resulting from your referrals.
- We reserve the right to withhold commissions for fraudulent, invalid, or returned transactions.
- Payment schedules, minimum payout thresholds, and payment methods will be specified in your affiliate dashboard or agreement.
4. Intellectual Property
We grant you a limited, non-exclusive license to use our trademarks, logos, and marketing materials solely for the purpose of promoting our Services as part of the Program. All intellectual property remains the sole property of Zinyaw Host.
5. Termination
Either party may terminate the affiliate relationship at any time by providing written notice. Upon termination:
- You must immediately cease all use of Zinyaw Host’s intellectual property and marketing materials.
- Any unpaid commissions earned prior to termination will be paid according to the standard payment schedule, unless fraud or breach is involved.
6. Limitation of Liability
Zinyaw Host shall not be liable for any indirect, incidental, special, or consequential damages arising out of or related to the Program or these Terms.
7. Indemnification
You agree to indemnify and hold harmless Zinyaw Host, its affiliates, officers, and employees from any claims, damages, liabilities, or expenses arising out of your breach of these Terms or your marketing activities.
8. Changes to Terms
We reserve the right to modify these Terms at any time. Changes will be posted on our website or communicated via email. Continued participation in the Program constitutes acceptance of the updated Terms.
9. Governing Law
These Terms shall be governed by and construed in accordance with the laws applicable to Zinyaw Host’s jurisdiction, without regard to its conflict of laws principles.
